These Terms of Service ("Terms") govern your use of the Managed Reception Service provided by Getsteadline, operated by Zachary Venne ("Getsteadline", "we", "us", or "our"). By signing up for or using our service, you ("Client") agree to be bound by these Terms.

1. The Service

Getsteadline provides a fully managed AI-powered reception service that answers inbound phone calls and books appointments on behalf of business clients. The service includes setup, configuration, and ongoing maintenance of the AI voice assistant, as well as integration with the client's calendar system.

The specific configuration of your service — including business hours, services covered, call handling instructions, and integrations — will be agreed upon during the onboarding process. Any material changes to your business that affect how the assistant should operate must be communicated to Getsteadline promptly.

2. Subscription and Billing

The service is provided on a month-to-month subscription basis. Pricing starts at $300 USD per month and may vary depending on call volume, configuration complexity, and any additional features agreed upon in writing.

Invoices are issued monthly and payment is due within 7 days of the invoice date. Getsteadline reserves the right to suspend the service if payment is not received within 14 days of the due date. Suspended accounts will be reactivated upon receipt of full payment.

Pricing may be adjusted with 30 days written notice to the client. Continued use of the service after the notice period constitutes acceptance of the new pricing.

Either party may cancel this agreement at any time with a minimum of 7 days written notice delivered via email to the other party.

Getsteadline does not offer refunds except in the following specific circumstance:

If the Getsteadline service experiences a complete outage lasting more than 72 consecutive hours due to an error or failure attributable to Getsteadline (and not to third-party infrastructure providers such as Vapi, Make.com, or Google), and the client chooses not to renew their subscription as a result, a prorated refund for the affected period will be issued upon written request.

Outages caused by third-party service providers, client-side configuration errors, or force majeure events do not qualify for refunds.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GETSTEADLINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST PROFITS, LOST BUSINESS OPPORTUNITIES, OR ANY OTHER COMMERCIAL LOSSES ARISING FROM OR RELATED TO THE USE OF OR INABILITY TO USE THE SERVICE, EVEN IF GETSTEADLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Getsteadline's total cumulative liability to the client for any claims arising under or related to these Terms shall not exceed the total amount paid by the client to Getsteadline in the three months preceding the claim.

The service is provided as a supplementary tool to assist with call handling. Getsteadline does not guarantee that all calls will be answered, that all appointments will be booked accurately, or that the service will operate without interruption. The client remains responsible for their own business operations and customer relationships.

Getsteadline makes reasonable efforts to ensure continuous service availability. However, we do not guarantee uninterrupted service and shall not be liable for downtime caused by:

8. Call Recording and Compliance

The client acknowledges that calls handled by the Getsteadline AI assistant may be recorded and transcribed. The client is solely responsible for ensuring compliance with all applicable call recording laws in their jurisdiction, including obtaining any required consent from callers.

Getsteadline recommends that clients include a call recording disclosure in the AI assistant's opening greeting where legally required. Getsteadline shall not be liable for any legal claims arising from the client's failure to comply with applicable recording laws.

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared in the course of the service relationship. Getsteadline will not disclose client business information or caller data to third parties except as required to deliver the service or as required by law.

10. Intellectual Property

All AI assistant configurations, prompt designs, workflows, and automation systems created by Getsteadline remain the intellectual property of Getsteadline. The client is granted a limited, non-transferable license to use these as part of the active service subscription. Upon cancellation, this license terminates.

The client retains ownership of all their own business data, including appointment information stored in their calendar.

11. Modifications to These Terms

Getsteadline reserves the right to modify these Terms at any time. Clients will be notified of material changes by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Quebec.

13. Entire Agreement

These Terms, together with any written service agreement or onboarding documentation signed between the parties, constitute the entire agreement between Getsteadline and the client with respect to the service and supersede all prior discussions, representations, or agreements.
